Ted Cohen is a seasoned attorney with broad and deep experience in significant legal and business matters affecting companies, senior executives, investors and other high net worth individuals. A substantial part of his more than 20 years in legal practice has involved representing clients in investment transactions, including forming and advising investment partnerships, hedge funds and other pooled investment vehicles, and representing buyers and sellers in private equity transactions, mergers and acquisitions and securities offerings. His experience includes representing clients in transactions involving various asset classes including exchange traded securities, private placements, real estate and alternative investments.

Mr. Cohen’s practice also includes representing clients in business litigation and arbitrations involving a wide variety of financial and securities transactions, employment matters and other commercial disputes. Mr. Cohen believes that business litigation is generally the continuation of failed negotiations (aimed at resolving the matter in dispute) by other means. The objective is to use business litigation to achieve the business goal, whether at trial or, far more often, through settlement. It is critical to identify inflection points during the pendency of litigation that can be used to achieve the most favorable (or least unfavorable) outcome, and to avoid becoming mired in the litigation process itself.

Mr. Cohen has practiced in law firms in Los Angeles and New York and as a senior executive and legal officer, including serving as Senior Vice President and General Counsel of The Pilgrim Group, a mutual fund complex, including investment adviser and broker-dealer affiliates, with approximately $3 billion under management, and as Executive Vice President and Assistant General Counsel of MGM Communications Co., a multi-national entertainment and communications company.

Mergers & Acquisition Transactions

Represented sellers in a multi-tranche sale of 100% of the equity of an LA based $4 billion AUM fixed income asset manager to a strategic buyer

Represented buyer in the acquisition of the assets of a Boston based $10 billion AUM equity manager, including employment and equity arrangements with key members of management

Represented security guard and technology company in the acquisition of a structured cabling and riser management company (office building related services)

Represented key employees in hostile exit to form a competing A-list public relations firm

Represented a $10 billion AUM equity manager in the lift-out of the President, CIO and other key personnel from a diversified financial services company

Represented the management team of a multi-billion dollar investment management company in connection with their departure and formation of two separate institutionally focused investment management firms

Represented RIA roll-up firms in connection with the acquisition of several independent registered investment advisors

Represented sellers in the sale of the assets of a $3 billion AUM CLO manager to a multi-national investment firm

Advise on creating equity incentive programs and restrictive covenants, including non-competes, non-solicits, etc.

Formation of numerous domestic and off-shore hedge funds, including master feeder structures, parallel funds and others

Formation of private equity funds focused on, among other things, investments in venture and other early and mid-stage companies and real estate assets

Representation of asset and collateral managers in asset backed securities transactions, including CLOs and mortgage-backed securities

Representation of College and University Presidents in their negotiations with the Chairpersons and Boards of well-known academic institutions

Representation of CEOs, Presidents, CFOs, CIOs and other senior officers of firms in a variety of industries in connection with employment, compensation and equity participation arrangements

Representation of hotel companies in connection with investment partnerships, acquisitions of hotel businesses and assets and various commercial matters

Litigation and Arbitration 

Successfully defended in New Jersey state court against a unit of Mattel alleging misappropriation of trade secrets, breach of non-compete agreement and related claims, obtaining dismissal with prejudice

Successfully asserted claims in California state court against Bear Stearns/JP Morgan involving breach of contract to purchase a multi-billion dollar subprime mortgage originator, resulting in $15 million settlement

Successfully asserted claims in FINRA arbitration against JP Morgan Securities based on suitability (excessive risk and concentration), unauthorized trading and breach of contract, recovering an award of approximately $600,000

Successfully asserted legal malpractice claims in JAMS arbitration against an international law firm, resulting in a more than $6 million settlement

Successfully asserted claims in Minnesota state court for breach of contract involving investment advice under a total return swap, resulting in an approximately $7 million settlement

Routinely represents companies and individuals in claims involving a wide variety of contractual disputes, investments, partnerships, joint ventures, limited liability companies and employment matters
